1. Agreement to Terms
By accessing Missing Clause (the Platform) you agree to be bound by these Terms of Use and all applicable UK laws. These terms cover our forensic auditing services for IR35 Status (Chapter 10 ITEPA) and Umbrella Joint and Several Liability (Chapter 11 ITEPA) and Supply Chain FWA (Fair Work Agency).
2. Forensic Guidance Framework
The Platform provides automated forensic guidance based on probabilistic forensic assessments of statutory compliance markers. All reports regarding IR35 status and Umbrella JSL risk and FWA markers are for guidance purposes only. Missing Clause Ltd does not provide regulated legal or tax advice. You acknowledge that under the 2026 compliance regime recruitment agencies face strict liability. Our reports assist in due diligence but do not grant statutory immunity from HMRC enforcement or debt transfer. We strongly recommend that users seek independent legal advice from a qualified solicitor before taking operational action.
3. Professional Tiers and Credit Policy
Users purchase Contract Credits to access forensic features at the following rates:
- Individual: £60 (1 credit)
- Starter Bundle: £250 (10 credits)
- Recruitment Pro: £750 (50 credits)
- The Shield: £1,200 (100 credits)
Credits are non refundable once an audit has been initiated. Usage of a credit constitutes full performance of the service for that specific audit session regardless of the audit mode selected.
4. Intellectual Property and SHA 256
The design and SHA 256 digital fingerprinting methods and proprietary forensic assessment logic used to identify missing clauses or financial risks are the sole intellectual property of Missing Clause Ltd. You are granted a limited licence to use generated reports for internal compliance and Reasonable Care evidence only. Redistribution or reverse engineering of the forensic logic is strictly prohibited.
5. Total Limitation of Liability
In no event shall Missing Clause Ltd be liable for any tax debts or interest or regulatory fines or penalties arising from the use of the Platform. Our total liability is strictly limited to the amount paid for the specific credit used to generate the report in question. You assume full responsibility for all final compliance decisions and acknowledge that our analysis is indicative and not definitive.
6. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
